Greenberg Traurig’s Bradley A. Jacobson Presents at PLI’s Private Placements and Hybrid Securities Offerings 2024

Bradley A. Jacobson, shareholder at global law firm Greenberg Traurig, LLP’s Boston office and co-chair of its Corporate Practice, presented at the Practising Law Institute (PLI)’s Private Placements and Hybrid Securities Offerings 2024, March 7. Jacobson presented “Late-Stage and Pre-IPO Private Placements,” providing insight into the unique characteristics of late-stage and pre-initial public offering (IPO) private placements.

The panel discussed the key insights needed to analyze and decipher the late-stage private placement market, conduct diligence and prepare offering disclosures, understand common terms and typical negotiating issues, and distinguish placements to strategic investors and placements involving secondary shares, as well as recognize information asymmetries and proximity to IPO and SEC concerns.

Jacobson advises hedge funds, venture capital funds, private equity funds, and investment advisers, as well as public and private companies, in a wide variety of securities, corporate finance, and merger and acquisition transactions. He is experienced in structuring and negotiating public and private offerings, mergers, and stock and asset acquisitions. Additionally, Jacobson advises public and private companies with respect to corporate governance issues, public disclosures, and securities law compliance, including proxy statements, registration statements, and periodic reports, as well as investors with respect to Section 13 and Section 16 issues. Jacobson is a frequent author and speaker on venture capital, particularly late-stage and pre-IPO private placements.
